Sterling Financial has started a 10-for-1 share reconstruction and paused NGX trading while share records are updated. Shareholders’ funds stay unchanged.
Sterling Financial Holdings has begun a 10-for-1 share reconstruction. That means every 10 existing shares will become 1 new share. The company says this is a balance sheet and share structure clean-up, not a new fundraising round.
Sterling Financial Holdings started an approved share capital reconstruction that consolidates every ten ordinary shares into one.
In practical terms, the group said its issued ordinary shares will drop from about 68.5 billion to about 6.85 billion. It also said about ₦30.83 billion will be moved into a Share Reconstruction Reserve. A reserve is an accounting bucket used to track changes like this.
Sterling Financial said the reclassification leaves total shareholders’ funds unchanged. So, investors should not read it as extra capital entering the business.
To complete the exercise, trading in the group’s shares on the Nigerian Exchange Limited was temporarily suspended on Wednesday, September 23, 2026. The suspension is expected to last up to ten working days, through Wednesday, October 7, 2026.
Sterling Financial said the pause allows the Central Securities Clearing System and Pace Registrars to reconcile holdings and update the shareholder register. This is the official list that shows who owns what.
The group added that services across its subsidiaries, including Sterling Bank and The Alternative Bank, will continue as normal.
Sterling Financial also pointed to stronger recent performance. In the first half, profit after tax grew 20.4% to ₦50.3 billion on gross earnings of ₦279.6 billion. Total assets reached ₦4.67 trillion, and shareholders’ funds rose 27.8% to ₦547.7 billion, supported by an earlier capital raise.
For listed companies, share reconstruction is often used to simplify the share count and improve how the stock price forms in the market. A lower number of shares can make per-share metrics easier to read, even when the underlying value is unchanged.
For retail and institutional investors, the key point is that Sterling Financial says ownership value should not be diluted by the consolidation. What changes is the number of shares held and the quoted price per share after trading resumes.
The reconstruction also signals the group is focusing on capital-structure efficiency as it targets sustainable earnings growth and returns.
