Why did 54 Collective shut down?

54 Collective (formerly Founders Factory Africa), one of Africa's most active venture studios, disbanded its venture-building operations around July 2025 after the Mastercard Foundation moved to terminate a $106.5 million grant commitment. A forensic audit had found an unauthorized 2024 rebrand and millions of dollars in restricted charitable funds allegedly commingled with for-profit affiliates, triggering business rescue proceedings and court-ordered liquidation of its operating entity, Africa Founders Ventures.

Early warning signs

Lessons for future builders

Restricted grant money carries the funder's rules, and spending it on unapproved plans invites clawback and collapse. Ring-fence donor funds in separate audited accounts, publish yearly statements, and get written sign-off before any rebrand or transfer to a for-profit affiliate.
