Solowin Holdings will execute a 1 for 200 reverse share split for Class A and Class B ordinary shares, with Class A split trading set for Oct 29, 2026.
Solowin Holdings, listed on Nasdaq as AXG, said it will carry out a 1 for 200 reverse share split for its Class A and Class B ordinary shares.
Solowin Holdings said its Class A ordinary shares will begin trading on a reverse split adjusted basis on The Nasdaq Capital Market on October 29, 2026.
A reverse share split combines many existing shares into fewer shares. In this case, every 200 shares will become 1 share.
After the reverse share split, both Class A and Class B ordinary shares will have a new par value of $0.02 per share. The Class A ordinary shares will continue to trade on Nasdaq under the symbol “AXG” and will have a new CUSIP number, G82759112.
The company said the reverse share split is expected to lead its Class A ordinary shares to trade at about 200 times the price per share compared to before the split. It also said it cannot assure that the post split price will reflect the 1 for 200 ratio, be maintained for any period, or remain above the pre split trading price.
No fractional shares will be issued. Any fractional interests will be rounded up to the nearest whole number of Class A and Class B shares.
The company said the split will reduce the number of issued and outstanding Class A ordinary shares from 201,529,461 to about 1,007,648. It will reduce Class B ordinary shares from 31,371,599 to about 156,858, subject to adjustments from rounding.
Solowin Holdings said its board approved the reverse share split on October 2, 2026. Shareholders approved it at an extraordinary general meeting on October 13, 2026.
Transhare Corporation is acting as the exchange agent and paying agent. Shareholders holding shares in book entry form or in brokerage accounts do not need to take any action.
For existing shareholders, a reverse share split changes the number of shares they hold and the per share price, without changing the underlying ownership percentage before market price changes.
For the company’s public listing, the update resets share count, par value, and the security identifier used in settlement, including the new CUSIP for Class A shares.
