Pepkor says it will combine Flash and Shop2Shop to create FintechCo, a large merchant commerce and fintech platform focused on South Africa’s informal economy. The new group is positioned to offer a full stack of services for small merchants, including payments, cash handling, merchant services, and financial products.
Shop2Shop brings “merchant acquiring” and payments infrastructure. Merchant acquiring means the tools and contracts that let a shop accept card and digital payments, similar to the rails behind a card terminal. Flash brings distribution and “value-added services”, often called VAS, which are extra digital products sold through merchants, like airtime, data, bill payments, and other services.
To complete the transaction, Pepkor will invest R1.57 billion as a cash subscription for new Shop2Shop shares. Pepkor will also contribute its entire shareholding in Flash, valued at R10.6 billion.
Pepkor says the deal is subject to standard conditions, including regulatory and competition approvals.
Pepkor is making a bigger bet on fintech infrastructure that serves informal traders, spaza shops, and township retailers. These merchants are often cash-heavy, but they increasingly need digital payments, float management, and access to financial services.
