## Content

## In Short
- Prudential Financial has agreed to sell all its shares in Alexforbes, a Johannesburg Stock Exchange listed financial services group.
- Alexforbes will buy back about 372.8 million shares, and ARC AF Holdings will buy about 74.1 million shares.
- The combined value is about $185 million, with closing expected in the first half of 2027.

## What Happened
Prudential Financial said its indirect subsidiary, New Veld, has signed agreements to exit its investment in [Alexforbes](/alexforbes). The transactions are structured in two parts.

First, Alexforbes will repurchase about 372.8 million shares from New Veld. A repurchase is when a company buys its own shares back, similar to a business reducing the number of “ownership slices” in circulation.

Second, ARC AF Holdings (RF) Proprietary Limited will acquire New Veld’s remaining 74.1 million shares. Together, the deals are valued at roughly $185 million.

Prudential expects the transactions to close in the first half of 2027. The timeline depends on Alexforbes shareholder approval for the buyback, plus required regulatory approvals and standard closing conditions.

Prudential said it will continue supporting Alexforbes and its stakeholders until closing. It also noted that the deal is part of a strategy it announced in August to narrow its geographic footprint, including exiting emerging markets.

## Why It Matters
For South Africa’s financial services market, the deal increases ownership concentration at Alexforbes, with more shares moving onto the company’s balance sheet and into the hands of a local shareholder.

For Prudential, the sale is a clear signal that global financial groups are still reshaping their emerging market exposure. That matters for African listed companies and fintech adjacent players that rely on long-term institutional shareholders for stability and capital.

If approvals come through, Alexforbes will have greater control over its shareholder base. Prudential will free up capital and management attention for its core regions.
