## Content

## In Short
Pinewood.AI posted higher first-half revenue and EBITDA for the six months to 30 June 2026. The company said its North America rollout is moving toward first US dealership go-lives in Q4 2026. Its recommended acquisition by Ridgeview Partners is now waiting on a UK High Court hearing on 7 October 2026.

## What Happened
[Pinewood.AI](/pinewood-ai) said underlying revenue rose 18.4% year on year to £23.2 million in H1 FY26. Underlying EBITDA, a profit measure that excludes some one-off costs, increased 11.4% to £8.8 million.

Most of its revenue remained recurring, meaning contracted subscription-style income, at £19.6 million. That was 84.5% of underlying revenue. The company also pointed to contributions from Seez, whose AI products are being integrated into Pinewood’s Automotive Intelligence platform.

Profit before tax fell to £3.8 million from £4.4 million. Cash also declined to £23.9 million from £30.3 million a year earlier. Pinewood said the cash movement reflects ongoing investment in its North American push.

Operationally, net customer churn stayed low at 0.7%, meaning it retained most customers and grew slightly through upgrades and expansion. Pinewood said two Lithia US dealers are set to go live on its platform in Q4 2026, with broader rollout across Lithia’s US and Canadian sites expected to begin in H1 2027. It also said integration work with US OEMs, meaning car makers that connect to dealer software systems, is progressing, with more integrations targeted by end-2026.

After the reporting period, Pinewood confirmed a recommended offer by UK Piston Bidco, backed by Ridgeview Partners. Shareholders approved the deal on 25 September 2026. The acquisition is now subject to court approval, with a hearing set for 7 October 2026.

## Why It Matters
Pinewood.AI’s numbers show steady growth, but also highlight the cost of expanding into the US market. If the court approves the Ridgeview-backed acquisition, Pinewood could move into its next growth phase under private ownership, with more flexibility to fund product work, integrations, and North American deployments.
