# Pinewood.AI Bid: Feoh Support Drops to 1.50% Stake

Pinewood.AI’s Ridgeview-backed Bidco says Feoh sold more shares. Its letter of intent now covers 1.50%, while overall support sits at 46.69%.

Pinewood.AI’s takeover process has a small but notable change. A shareholder, Feoh Investments UK LLP, reduced the number of shares it is supporting through a letter of intent. Bidco says overall backing for the deal, including other commitments, is now 46.69% of shares.

## What Happened
U.K. Piston Bidco Limited, a newly formed company indirectly owned by entities administered by Ridgeview Partners LLC, published an update tied to its recommended acquisition of [Pinewood.AI](/pinewood-ai).

Feoh Investments UK LLP had previously given Bidco a letter of intent supporting the recommended offer. A letter of intent is a non-binding statement that a shareholder expects to support a deal, even though it is not always a locked-in voting commitment.

Bidco said Feoh has continued to sell down its position. As of 1 September 2026, Feoh had sold another 37,727 shares that were previously covered by the letter of intent. That leaves 1,726,913 Pinewood.AI shares under Feoh’s letter of intent, about 1.50% of the issued ordinary share capital as of 28 August 2026.

Bidco also said that, when Feoh’s remaining shares are combined with other irrevocable undertakings, the offer now has aggregate support representing 46.69% of Pinewood.AI’s issued ordinary share capital. An irrevocable undertaking is a binding promise to vote for a deal, often given by large shareholders.
