## In Short
OPay Limited decided not to complete its previously announced initial public offering, and its ADSs will not begin trading on the New York Stock Exchange as previously scheduled.

## What Happened: Why OPay Ended Its IPO Process
[OPay](/opay) Limited (NYSE: OPAY) said it decided not to complete its previously announced initial public offering.

The company said the decision followed “a recent regulatory inquiry” related to a jurisdiction it described as “immaterial” to its business operations.

OPay said it is confident the inquiry will be concluded “satisfactorily in the near future.” It said that after discussions with the underwriters, it determined that not proceeding with the offering “at this time” was the most prudent option.

OPay and the underwriters mutually agreed to terminate the underwriting agreement dated October 29, 2026.

The company said that as a result, the offering will not be completed, and its ADSs will not commence trading on the New York Stock Exchange as previously scheduled. (ADSs are depositary shares that let investors trade shares in a foreign company on a US exchange.)

## Why It Matters
Ending an IPO process can delay a company’s plans to list and raise capital in public markets.

In this case, OPay tied the decision to a regulatory inquiry, and said it expects the matter to be resolved in the near future.

The company also included a safe harbor statement saying its press release contains forward-looking statements and that actual results could differ due to risks and uncertainties described in its SEC filings.
