## Content

## In Short
Liberty Group has appointed two independent non-executive directors to the boards of Liberty Holdings and Liberty Group.

## What Happened
Liberty Group said it has appointed Mamokete Emily Ramathe and Ann Margaretha Roets as independent non-executive directors, effective 15 October 2026. The appointments cover vacancies created after the retirement and resignation of four directors.

An independent non-executive director is a board member who is not part of day-to-day management, and is expected to bring independent oversight. This matters in regulated sectors like insurance and long-term savings, where governance and risk controls affect customers and investors.

The company said the Liberty board approved the appointments on 15 October 2026, and that both directors went through fit and proper checks. A fit and proper assessment is a formal test used in financial services to confirm a person’s integrity, competence, and suitability for governance roles.

Liberty also announced upcoming changes to board committees. Ramathe will join the Remuneration Committee, Social, Ethics and Sustainability Committee, and IT Committee from 1 November 2026. Roets will join the Audit and Actuarial Committee, Actuarial Committee, and Risk Committee from 1 January 2027.

## Why It Matters
Board committee membership is where much of the detailed oversight happens. Audit and actuarial work focuses on financial reporting and insurance assumptions, like how future claims are estimated. Risk committees oversee exposure to market, credit, operational, and technology risks.

The added IT committee role also signals ongoing focus on technology governance, including cyber risk, system resilience, and third-party supplier controls. For customers and noteholders, stronger governance can reduce the likelihood of operational failures and reporting surprises.

For the wider South African financial services market, director appointments and committee changes are a reminder that regulated firms are under steady pressure to keep board skills aligned with risk, compliance, and technology demands.
