Kenya’s Capital Markets Authority (CMA) is investigating HFCB Group over how it released its latest financial results. The issue is timing, not the numbers.

## What Happened
HFCB Group published its 2026 half-year financial results during Nairobi Securities Exchange trading hours.

The Nairobi Securities Exchange halted trading in the stock for the full session after receiving the report during market hours. CMA said it is reviewing the matter together with the exchange and will take action as appropriate.

At the centre of the probe is Regulation 89(4) of the Capital Markets (Public Offers, Listings and Disclosures) Regulations, 2023. It requires listed companies to disclose “material information” simultaneously to the CMA, the exchange, and the public, and to do it outside trading hours.

Material information means updates that could move a share price, like earnings, mergers, or major legal outcomes. Releasing it during trading can create an uneven playing field if some investors see the information earlier than others.

The exchange also has a daily 10% price movement limit under normal trading. That cap is lifted on the day a major announcement is made, so the market can reprice the stock freely based on new information, which is called open price discovery.

Because the results were not shared in the expected way, the 10% cap was still in force, so the NSE halted trading and allowed open price discovery on the next trading day instead.

The published results showed HFCB’s half-year net profit for 2026 rose 60% to Sh998.3 million.

## Why It Matters
This is a reminder that public markets run on disclosure discipline. For listed firms, compliance is not just filing results, it is filing them in the right format, to the right parties, and at the right time.

For investors, trading halts and disclosure probes can add short-term uncertainty even when earnings are strong. For Kenya’s market regulators, enforcement signals that disclosure rules are becoming more strictly applied as the market modernises.
