## What Happened
BGFI Holding Corporation opened phase two of a public capital increase on 15 September 2026. BGFI Holding Corporation is the parent company of [BGFIBank Group](/bgfibank-group), which operates across 12 countries.

A “capital increase by public offering” means the company is creating and selling new shares to investors, rather than selling existing shares held by current owners. The offer period runs through 15 October 2026.

The transaction plans to issue 1,006,975 new shares. The subscription price stays at FCFA 80,000 per share. The minimum subscription is 10 shares, which equals FCFA 800,000.

BGFI says the goal is to increase its public free float to 10%, up from 3.85% today. Free float is the portion of shares available for public trading, which often affects liquidity, meaning how easily investors can buy or sell without moving the price too much.

The offer targets FCFA 80.558 billion. The first phase, launched in November 2025, raised FCFA 45.325 billion and brought in 7,601 investors from 24 countries, according to the company.

BGFI said the raise supports its “BGFI 2030” strategic plan and longer-term growth. The company named BGFIBourse and EDC Bourse as lead arrangers, and said the transaction is registered with COSUMAF.
