# Banco BPI Sells BFA Stake for €388.5M, Exits Angola

## What Happened
Banco BPI has agreed to sell its 33.35% stake in [Banco de Fomento Angola (BFA)](/banco-de-fomento-angola) to Congolian Financial (CFSA) for a fixed €388.5 million.

The fixed price is split into two parts. There is an upfront tranche of €345 million and a deferred fixed tranche of about €43.5 million.

There is also a deferred variable tranche. It equals half of BFA’s 2026 dividend attributable to the stake. Both deferred tranches are due in May 2027.

As of June 30, 2026, BPI recorded the BFA stake on its balance sheet at €379 million. BPI said the fixed proceeds alone would add about €9 million to its accounting shareholders’ equity.

The deal would mark Banco BPI, and parent group CaixaBank, leaving Angola. BPI has been trying to sell its BFA holding since 2017 after the European Central Bank recommended reducing exposure to higher-risk markets like Angola.

BPI previously reduced its position when BFA launched an IPO last year. It sold a 14.75% stake then. In 2023, BPI paused plans to sell its full 48.1% stake, citing the Angolan kwanza’s devaluation against the US dollar.

## Why It Matters
For banks with cross-border operations, regulators closely watch country risk, which is the chance that a market’s currency moves sharply or rules change in ways that hurt returns. Angola’s currency swings have already affected the timing and value of BPI’s exit.

If the transaction closes, the ownership shift could also reshape how capital and control sit inside one of Angola’s best-known banks. That matters for corporate customers, trade finance, and the broader banking sector in Angola.

The payment structure is also a signal to watch. Deferred tranches, and a dividend-linked variable amount, show how buyers and sellers can share risk when pricing assets in markets with volatile FX and uncertain future dividends.
