## Content

## In Short
BAI plans to negotiate a partial settlement of a 1.96 billion kwanza debt owed to the Angolan State.

The bank would transfer a property in Luanda as payment in kind.

Any remaining amount would be repaid later under an amortisation plan.

## What Happened
BAI is preparing to negotiate with the Angolan State to partially settle an emolumentary debt valued at 1.96 billion kwanzas.

This debt relates to fees charged for notarial and commercial registration acts, basically the official paperwork costs tied to a corporate change.

According to the report, the fees arose during BAI’s capital increase process through incorporation of reserves. That means the bank converted retained earnings into share capital, rather than raising fresh cash.

The proposed settlement involves “dation in payment”, meaning paying a debt by handing over an asset instead of cash.

The asset is a standalone unit in the Edifício Baía, listed as Building No. 258, located at the intersection of Rua Major Kanhangulo and Largo do Ambiente in Luanda.

The unit has a total area of 478.81 square metres. It would cover part of what BAI owes, and the remaining amount would be handled through a later repayment schedule.

The authorization described in the report also makes the state’s acceptance conditional on legal checks and the asset being formally incorporated into the state’s property holdings.

## Why It Matters
For [Angola](/countries/angola), settlements like this show how financial institutions and government can use non-cash assets to resolve liabilities, especially when cash payments may be harder to make in one go.

For the banking sector, the story is also a reminder that capital structure changes can trigger real costs beyond accounting entries. Notary and registration fees can become material amounts at scale.

Finally, the report frames this as a planned negotiation, not a completed settlement. That distinction matters for investors and operators tracking bank governance, state receivables, and balance sheet strength.

It also signals that BAI’s reserve-to-capital move is being positioned as a prudential step, meaning aimed at strengthening regulatory capital buffers and improving financial resilience.
