## What Happened
At its October 9 annual general meeting, [AXA Mansard](/axa-mansard) received shareholder approval to raise additional capital of up to ₦18.3 billion.

The proposed raise is a rights issue, which means new shares are offered to existing shareholders first, usually in proportion to what they already own. Shareholders can choose to buy more shares to maintain their percentage ownership, or decline and accept dilution, which means their ownership share gets smaller.

The company said the capital raise is still subject to relevant regulatory approvals. The board has also been authorised to set the final size of the rights issue, how many new ordinary shares will be issued, and the price per share.

If some shareholders do not take up their rights within the offer window, the company may offer those shares to other shareholders who indicated interest, subject to regulatory requirements.

Beyond the capital plan, shareholders also approved several standard AGM resolutions. These include receiving the 2025 audited financial statements, re-electing three non-executive directors, and appointing Ernst and Young as external auditors. The meeting also fixed non-executive director remuneration for 2026, and elected shareholder representatives to the statutory audit committee.
