Kloud Commerce (rebranded from PayPecker) built offline-to-online commerce infrastructure for African retailers/brands: a B2C direct-to-consumer sales layer and a B2B product (Omni/GoDigital) that digitized small retailers.

## What worked

Raised $765K in pre-seed/follow-on funding from 18 investors (including LoftyInc Capital, Ventures Platform, Vivazi, Flying Doctors, Niche Capital, KO Capital) beginning with $100K in May 2021.

## Early warning signs

By December 2021 the founder was allegedly making false claims of 2,600+ retail locations signed up; engineering-team attrition exceeded 60% amid unrealistic expansion targets; a board formed in May 2022 discovered the company carried over ₦100 million in liabilities; monthly burn reportedly reached roughly $50K alongside a roughly $230K office lease.

## What happened

Internal conflict escalated through 2022 as investors tried to force a recapitalization requiring Olusanya to step down; he resisted and reinstated himself as CEO, prompting investors to file an EFCC petition alleging fund diversion and personal expenses charged to the company; the company ceased operations on September 30, 2022, and Olusanya was detained by the EFCC in late March 2023.
